Terms of Service

Overview

These Terms of Service ("Terms") govern your access to and use of the ScopeHQ products and services (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Definitions

ScopeHQ, "we," "us"
ScopeHQ, the operator of the Service.
Customer, "you"
The company or individual accessing the Service.
Subscription
Your paid plan as described in your order confirmation.
Authorized User
Your employee, contractor, or agent permitted by you to use the Service.

2. Account and Access

You must provide accurate registration information and keep it current. You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly of any unauthorized access.

3. Subscriptions, Trials, and Billing

  • Free trial — 7 days, full feature access. A valid payment method is required at signup. We do not charge during the trial. The first invoice issues on day 8 unless you cancel earlier.
  • Subscription term — monthly or annual, auto-renewing at the same term unless cancelled before the renewal date.
  • Payment — billed in advance via Stripe. Late fees apply on past-due amounts at the lesser of 1.5% per month or the maximum permitted by law.
  • Overage — usage in excess of your plan's included allowance is billed at the rates published at manage.scopehq.org/signup. Overage invoices issue with the next regular billing cycle.
  • Refunds — we do not refund partial billing periods unless required by law.
  • Cancellation — cancel at any time via the Stripe-hosted billing portal we email at signup. Cancellation takes effect at the end of the current billing period; no further charges issue.

4. License

Subject to these Terms and your timely payment of fees, ScopeHQ grants you a non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, for the number of Authorized Users covered by your Subscription.

You may not:

  • Reverse-engineer the Service.
  • Resell access.
  • Use the Service to build a competing product.
  • Attempt to circumvent rate limits or seat counts.

5. Customer Data

You retain all rights to data you submit to the Service ("Customer Data"). You grant ScopeHQ a limited license to process Customer Data solely to provide the Service to you, and you represent that you have the legal right to grant this license.

ScopeHQ processes Customer Data as a data processor; you are the data controller. See our Privacy Policy for details. A Data Processing Addendum is available on request from privacy@scopehq.org.

6. Third-Party Services

The Service integrates with third-party platforms including Zendesk, Microsoft Azure DevOps, Slack, and others. Your use of those platforms is governed by their own terms. ScopeHQ is not responsible for changes, outages, or pricing of third-party services.

7. Acceptable Use

You agree not to:

  • Use the Service to send spam, phishing, or other unlawful content.
  • Upload malware, run security scans against ScopeHQ infrastructure without prior written consent, or attempt to disrupt the Service.
  • Use the Service to process personal data in violation of applicable law.

We may suspend or terminate access for material violations of this section.

8. Service Levels and Support

  • Uptime target — we target 99.9% monthly uptime for the production Service. Scheduled maintenance is announced at least 48 hours in advance via email.
  • Support — email-based, business hours (Mon–Fri, 9am–5pm ET). Pro-tier subscriptions include a 24-hour first-response SLA.
  • Priority Support add-on — optional, includes 1-hour first-response SLA, a dedicated channel, and a monthly success call.

9. Confidentiality

Each party agrees to protect the other's confidential information using at least the same care it uses to protect its own (and no less than reasonable care). This obligation survives termination for three years.

10. Warranties and Disclaimers

We warrant that the Service will perform substantially in accordance with our published documentation.

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. EACH PARTY'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO SCOPEHQ IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to:

  • Breach of confidentiality.
  • Violations of intellectual property rights.
  • Indemnification obligations.
  • Gross negligence or willful misconduct.

12. Indemnification

ScopeHQ will defend and indemnify you against third-party claims that the Service, as provided by ScopeHQ and used in accordance with these Terms, infringes a third party's patent, copyright, or trademark.

You will defend and indemnify ScopeHQ against third-party claims arising from:

  • Your Customer Data.
  • Your use of the Service in violation of these Terms or applicable law.
  • Your products or services.

13. Term and Termination

These Terms continue until your Subscription expires or is terminated. Either party may terminate for material breach with 30 days' written notice if the breach is not cured.

On termination, we will retain Customer Data for 30 days to allow export, after which it will be deleted from active systems. Backups are purged within 90 days.

14. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Texas, United States. Any dispute will be resolved in the state and federal courts located in Denton County, Denton, Texas, and both parties consent to that exclusive jurisdiction.
